Company Setup and Secretarial
Incorporation, registrations and statutory filings to get you trading fast and keep the CRO happy.
Starting a company involves a dozen small registrations that are easy to get wrong and tedious to fix. We incorporate at the CRO, register you for the right taxes with Revenue, and keep the statutory book maintained, including the annual return (Form B1), which falls due six months after incorporation and every year after.
What’s included
06 itemsCompany incorporation: registered at the CRO and ready to trade
Tax registration: PAYE, VAT and corporation tax set up with Revenue
Annual returns: the Form B1 and statutory filings kept current
Statutory registers: maintained, including beneficial ownership (RBO)
Shares and office: issues, transfers and a registered office service
Board paperwork: dividend documentation and minutes drawn up
What you should know
A new Irish company is incorporated at the CRO, usually as a private company limited by shares (LTD), and needs at least one EEA-resident director, or a Section 137 insurance bond if every director is non-resident. Straight after incorporation come the registrations that are easy to overlook: corporation tax, and PAYE or VAT where they apply, plus the Register of Beneficial Ownership (RBO), which has to be filed within five months.
The filing that catches people out is the first annual return (Form B1), due six months after incorporation (no financial statements are needed that first time), but miss it and the clock starts on penalties and audit-exemption risk. We handle the incorporation, the registrations and the statutory registers, and get you trading quickly with both the CRO and Revenue satisfied from day one.
